Terms of use

These are the terms of use ("Terms of Use") for your use of products and services, content, materials, information and software on the sites, sub-sites, domains and sub-domains owned and controlled by Strategy Inc ("Strategy"), including the Sites. You may access the Sites from a computer, mobile device, app, or by any other means now known or hereafter devised, and these Terms of Use govern your use of the Sites and your conduct regardless of the means of access.

By using the Sites, you agree to follow and be bound by these Terms of Use whether or not you have read them. Strategy reserves the right to change these terms and conditions, as well as the products, services, prices, and programs mentioned on the Sites at any time in its sole discretion and without notice. Your continued use of the Sites after such changes are posted indicates your acknowledgment of the changes and your agreement to be bound by the revised Terms of Use.

If you do not agree to all of the Terms of Use, you should not access, visit or participate in the Sites. If you breach any of the Terms of Use, your authorization to use the Sites automatically terminates and you agree to immediately destroy any material you obtained from the Sites. Any rights not expressly granted herein are reserved.

Use of Forums and Public Communication

The Sites may contain discussion groups, bulletin board services, chat areas, news groups, forums, communities, and/or other message or communication facilities designed to enable you to communicate with others ("Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and, when applicable, consistent with Strategy's intended purpose.

• Do not use Communication Services for spam, chain letters, junk email, contests, or other unsolicited or duplicative messages.
• Do not harass, threaten, defame, abuse, or otherwise violate the legal rights of others.
• Do not upload unlawful, misleading, obscene, defamatory, infringing, or malicious material, including malware or harmful code.
• Do not infringe copyright, trademark, patent, trade secret, privacy, publicity, or other proprietary rights.
• Do not post instructions or materials that enable harmful conduct, inappropriate system access, or disruption of services.
• Do not engage in commercial solicitation, collection of personal data, or misrepresentation of the source of content.
• Do not restrict or inhibit any other user from using and enjoying the Communication Services.

Strategy has no obligation to monitor the Communication Services. However, Strategy reserves the right to review materials posted to them, to remove materials in its sole discretion, and to terminate your access to any or all Communication Services at any time without notice.

Termination of Use and Third-Party Sites

You agree that Strategy may, in its sole discretion and at any time, terminate your access to the Sites and any account(s) you may have in connection with the Sites. Access to the Sites may be monitored by Strategy.

The Sites may provide links to web sites and access to content, products and services from third parties that are not under the control of Strategy. Strategy is not responsible for third-party content accessible through the Sites, including opinions, advice, statements and advertisements, and you understand that you bear all risks associated with the use of such content. Strategy provides such links only as a convenience and does not endorse the linked sites, products, or services.

Disclaimer and Limitation of Liability

THE SITES AND ANYTHING DESCRIBED ON THE SITES ARE SUBJECT TO CHANGE WITHOUT NOTICE. STRATEGY MAKES NO WARRANTIES OR COMMITMENTS CONCERNING THE AVAILABILITY OF FUTURE PRODUCTS, FEATURES OR VERSIONS THAT MAY BE PLANNED OR UNDER DEVELOPMENT OR ANY SPECIFICATIONS DESCRIBED ON THE SITES.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnity, Privacy Policy, and Children

You agree to defend, indemnify and hold harmless Strategy, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Sites.

Strategy is concerned about your privacy and has developed a policy to address privacy concerns. The current privacy policy is incorporated herein into these Terms of Use and is available at Privacy policy.

Children under the age of 13 are not eligible to use the Sites, and Strategy asks that they do not submit any personal information.

Applicable Laws, Export Control, and Accounts

The Sites are operated by Strategy Inc from its offices in the United States of America. All matters relating to your access to, and use of, the Sites shall be governed by U.S. federal law or the laws of the Commonwealth of Virginia, USA. Any legal action or proceeding relating to your access to, or use of, the Sites shall be instituted in a state or federal court in Fairfax County, Virginia, USA.

You may not access, download, use, or export any Sites content or use or access the Sites in violation of export control laws or other applicable laws or regulations. You agree to comply with all relevant restrictions and not to directly or indirectly make Strategy services or technology available in violation of law.

If any Site feature requires you to open an account, you must provide current, complete and accurate information and maintain the confidentiality of your account credentials. You are responsible for activities that occur under your account and must notify Strategy immediately of any unauthorized use or breach of security.

Use of Materials Available on This Site

Any software made available to download from the Sites is the copyrighted work of Strategy and is governed by the applicable license agreement. Any reproduction or redistribution not in accordance with the applicable license terms is expressly prohibited by law. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell Strategy content obtained from the Sites without express written authorization from Strategy.

Permission to use documents such as white papers, press releases, datasheets, dashboards, visualizations, and FAQs from the Sites is granted provided that the copyright notice appears in all copies, the use is informational and non-commercial or personal only, and no modifications are made.

Government end users receive Technical Data, Software, products, and documentation only as "Commercial Items" as defined in 48 C.F.R. § 2.101. The manufacturer is Strategy Inc, 1850 Towers Crescent Plaza, Tysons Corner, VA 22182.

User Content, Linking Policy, and Copyright Claims

You are responsible for any material you may post, submit or upload to or through the Sites ("User Content"), including ensuring its legality, reliability, appropriateness, originality and copyright status. Unless agreed otherwise, you grant Strategy and its affiliates a nonexclusive, royalty-free, perpetual and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display User Content worldwide, subject to applicable privacy restrictions.

Unless otherwise set forth in a written agreement between you and Strategy, any link to the Sites must be a text-only link clearly marked https://www.strategy.com or https://www.strategysoftware.com, must point to those URLs, may not create a false appearance of sponsorship, and must display the Site on a full screen and not within a frame.

If you believe that your copyrighted work has been copied and is accessible on a Strategy web site in a way that constitutes copyright infringement, please send a notice to the Copyright Agent including the signature of the rights holder or authorized representative, a description of the copyrighted work, a description of the allegedly infringing activity, the URL or location of the material, your contact details, a good faith statement, and a statement under penalty of perjury that the information in the notice is accurate.
